Former officer who is not on the board tries to continue running meetings.

Can a former officer who has already been replaced run the meeting the next month if we did not re-elect heras a director?

Answer: Not if they are honest and trying to do the right thing. According to the BTMA by-Laws which state:


ARTICLE IX
OFFICERS AND THEIR DUTIES
1.  The officers of this Association shall be a president, a vice president, a secretary, and a treasurer, who shall at all times be members of the board of directors, and such other officers as the board may from time to time by resolution create.


Yes, everyone is aware that Paula Hendrix did show up at the 2010 meeting and attempt to run it in complete violation of the by-laws. But never again should it happen as all  board members should be educated and understand their place.  (And according to the Oklahoma Statutes you can have a corporation with an office being vacant so Hendrix should not have been allowed to conduct the meeting when she had not been re-elected.)
