When can the Covenants be changed??

Taken straight from the Covenants:

Burning Tree South... after Feb 1, 1993, the then owners of a majority of all the lots in said Addition may change or vacate these covenants, either in whole or in part, which change or vacation shall be evidenced by a instrument in writing signed by the then owners of a majority of all lots in said Addition and duly filed of record in the office of the County Clerk of Tulsa County, Oklahoma.

Burning Tree One:.... after February 1, 1993, the then owners of a majority of all the lots in said Addition may change or vacate these covenants, either in whole or in part, which change or vacation shall be evidenced by an instrument in writing signed by the owners of a majority of all lots in said Addition and duly filed of record in the office of the County Clerk of Tulsa County, Oklahoma.

Burning Tree East:.... after November 1, 1993, the then owners of a majority of all the lots in said Addition may change or vacate these covenants, either whole or in part, which change or vacation shall be evidenced by an instrument in writing signed by the then owners of a majority of all lots in said Addition and duly filed or recorded in the office of the County Clerk of Tulsa, County, Oklahoma.

Burning Tree Plaza ...after November 1, 1993, the then owners of a majority of all the lots in said Addition may change or vacate these covenants, either whole or in part, which change or vacation shall be evidenced by an instrument in writing signed by the then owners of a majority of all lots in said Addition and duly filed or recorded in the office of the County Clerk of Tulsa, County, Oklahoma.

Burning Tree West:.... after November 1, 1993, the then owners of a majority of all the lots in said Addition may change or vacate these covenants, either whole or in part, which change or vacation shall be evidenced by an instrument in writing signed by the then owners of a majority of all lots in said Addition and duly filed or recorded in the office of the County Clerk of Tulsa, County, Oklahoma.

ARE YOU ARE TRYING TO AMEND YOUR COVENANTS TO BE RID OF THE BURNING TREE MASTER ASSOCIATION? THERE IS GOOD NEWS!!

None of these subdivisions are tied to the Burning Tree Master Association! This can be confirmed by a call to:
  • The office of the Secretary of State. (Those who formed the HOAs for the different subdivisions did not make them part of the Master Association, thus they are NOT part of it.)
  • Oklahoma Statues require that there must be land (your subdivision has none) and the covenants are to be enforced by the HOA in order to set up an HOA.The
  • Tulsa County Assessors office (ask for Land Records) They have advised that the required document to set up an HOA was never filed for any of the HOAs    It would take 100% of the homeowners in each area acknowledging by their signature that they want a mandatory HOA, since they do no have any land and the HOA cannot enforce any covenants.  (After the way money the BTMA took from homeowners has been thrown away with both hands on things that certain ones wanted to blow it on, who, in their right mind would sign???) And yes, one homeowner made copies of the receipts of things that were purchased.
Further, according to both the BTMA Articles of Incorporation and the Burning Tree Master Association By-Laws it is NOT the homeowner who was ever supposed to be the member!!!

In the event of such dissolution, Architectural and Design approval shall rest in the Board of Directors of Burning Tree Master Association.

That part about the Design Committee was placed in the Deed of Dedication, under the Covenants, to be used while homes were being built.  Normally when the developer transitions it over to the HOA and steps away, there are amendments made to the Covenants by the homeowners....to remove information that is no longer needed. We all need to remember that there  was a lawsuit going on where the homeowners had taken Mr. Henshaw (the President of the BTMA) to court (and the homeowners won.)

Many things were left in a mess and documents that should have been amended or filed never were.

I. The undersigned Owner further dedicates to the public for use forever, easements and right-of-way as shown and designated on the accompanying plat for the several purposes of constructing, maintaining, operating, repairing, removing and replacing any and all public utilities, including storm and sanitary sewers, telephone lines, electric power lines and transformers, gas lines and water lines, together with all fittings and equipment for each of such facilities, including the poles, wires, conduits, pipes, valves, meters, and any other appurtenances thereto with the right of ingress an egress to and upon said easements and right-of-way  for the uses and purposes of aforesaid together with similar rights in each and all of the streets shown on said plat.

J. In connection with the installation of underground electric service or telephone service, all of the lots are subject to the following provisions, to-wit:
(a) Overhead Pole Lines for the supply of electric service may be located in the easements along the boundaries of the subdivision. Street light poles or standards may be served by underground cable  and elsewhere throughout said Addition all supply lines may be located underground, in the easement-ways reserved for general utility services and streets, shown on the attached plat. Service pedestals and transformers, as sources of supply at secondary voltages, may also be located in said easement-ways.

(b) Except to houses on lots served by lines described in paragraph (a) above, which may be served from overhead electric service lines, underground service cables to all houses which may be located on all lots in said Addition may be run from the nearest service pedestal or transformer to the point of usage determined by the location and construction of such house as may be located upon each said lot; providing that upon installation of such a service cable to a particular house, the supplier of electric service or telephone service shall thereafter be deemed to have definitive, permanent, effective and exclusive right-of-way easement on said lot, covering a five-foot strip extending 2.5 feet on each side of such service cable extending from the service pedestal or transformer to the service entrance on said house.

(c) The Supplier of electric service or telephone service through its proper agents and employees shall at all times have right of access to all such easement-ways show on said plat, or provided for in this Deed of Dedication for the purpose of installing, maintaining, removing or replacing any portion of said underground electric facilities so installed by it.

(d) The owner of each lot shall be responsible for the protection of the underground electric facilities and telephone facilities located on his property and shall prevent the alteration of grade or any construction activity which may interfere with said electric facilities. Repairs or cost of relocation, required by violation of this covenant, shall be paid by the owner of the lot.

(e.) The foregoing covenants shall be enforceable by the supplier of electric service and/or telephone service and the owner of such lot agrees to be bound hereby.
K. Membership in Home Owners' Association.

(a) Any owner of any lot within said subdivision shall become a member of Burning Tree Area #7 Owners' Association, (notice it does NOT say BTMA??????...and while he may have thought he could set up a mandatory owners association but according to Oklahoma Statutes BTW and BTPlaza do not meet the criteria for a mandatory HOA with assessments!!!! OOPS!) by purchasing a lot within said subdivision and membership therein shall be thereafter appurtenant to the ownership of said lot. One cannot be transferred without the other. Voting within Burning Tree Area #7 Owners' Association will be on the basis of one vote per dwelling unit owned, and assessment shall be made on a "per dwelling unit" basis. Each and every lot owner shall have an easement to use facilities of the Association of which said lot owner is a  member or of the Burning Tree Master Association, (we have an easement to use the BTMA facilities along with the BT, you do not become a MEMBER of the BTMA!!!! ) subject however, to the rules and regulation thereof. (Well, of course....if we wanted to use the facilities of the BTMA we would follow their rules and regulations. And if we don't want to use them then we don't have to do what they say.)

Membership in the Association shall be subject to assessments for the actual cost of maintenance, repair and upkeep of the common areas of the subdivision (BT West and BT Plaza have none!) for the unpaved areas of the Boulevard and facilities as designated on the overall developmental plans for Burning Tree. (Another error Mr. Henshaw made when filing our Covenants and copying them from  ones he filed for another subdivision....as we do not have unpaved areas in West! Nor did he follow through with putting facilities in each of the subdivision like he showed on some of the plans but later removed from the plans.)

Annual  assessments for maintenance, repair, and upkeep (see what assessments were to be used for....but we have nothing in common here in West to keep up, repair or maintain) shall be a lien upon any lot of any owner in said subdivision, and shall be subject to enforcement as provided in the By-Laws of the Association. The Articles of Incorporation, By-laws  and rules and regulation may be examined at either office of Mingo, Inc, 9511 East 46th St., Tulsa, Oklahoma, or at the clubhouse office of the Association to be built in said subdivision.

(b) The owner of any lot by acceptance of a deed therefor, shall be deemed to have accepted  membership in the Burning Tree Area #7 Owners' Association, (it doesn't say in BTMA!!!) agreed to abide by the rules and regulations of the Association (attorneys have told us since this document is about BT West when it refers to it simply as "the Association" it is still referring to BT West, not the BT Master Association) concerning the use of the facilities, open spaces and recreation areas; and agreed to pay assessments made for the maintenance, repair and upkeep of the common areas of the Association.  <---------again it is talking about the Association for BT West.(c) Maintenance assessments by Burning Tree Area #7 Owners Association or Burning Tree Master Association, Inc (We would have been included as a member of the BTMA but Mr. Henshaw failed to correct the BTMA Articles of Incorporation*) shall be a lien on the lot assessed, but shall be subordinate to any first mortgage made in good faith and for value.

*ARTICLE III   MEMBERSHIP  Every Burning Tree Area Owners Association approved by Declarant* shall be a member of the corporation. No owners association was ever approved by the Declarant according to the Secretary of States records. Mr. Henshaw never amended the Articles of Incorporation to include any of the subdivisions.

WHAT HAPPENED WITH BURNING TREE SOUTH?

~~~~~~~~~~~~~~~~~~~~~~~~~
OK. I finally got it.
It makes total sense now that one of the attorneys explained it to us. Please feel free to put this on your blog. Maybe sharing it will help others see that it is all very simple.
~~~~~~~~~~~~~~~~~~~~~~~~~

NAT HENSHAW CHANGED PLAN FOR BURNING TREE PLANNED UNIT DEVELOPMENT  112. TULSA METROPOLITAN AREA PLANNING COMMISSION  REQUIRED STIPULATED CONDITIONS BE MET BEFORE FINAL APPROVAL

In 1971, Nat Henshaw, the developer filed with the Tulsa Metropolitan Area Planning Commission (TMAPC) to establish Planned Unit Development (PUD) 112. This PUD was to include only apartments, a church, and office parks. Mr Henshaw wanted to add residential to his PUD. TMAPC required 10 conditions (and later on, 18 conditions) be met before Burning Tree South could be included in the PUD. Stipulated conditions included that the land that had been deeded from Burning Tree South to the Burning Tree Master Association(BTMA) be excluded. (It is important to note that by Mr. Henshaw deeded out the land prior to any building in Burning Tree South Addition has never owned any property.) Approval by the TMAPC Legal Department regarding wording in the Deed of Dedication and Covenants, was another condition to be met to receive final approval.

~

HENSHAW, FAILING TO MEET THE STIPULATED CONDITIONS,  DID NOT RECEIVE APPROVAL FOR  BURNING TREE SOUTH TO BE INCLUDED IN THE BURNING TREE PLANNED UNIT DEVELOPMENT (PUD 112). MR. HENSHAW ALSO FAILED TO CORRECT THE CERTIFICATE OF DEDICATION.

However, even though Mr. Henshaw failed to meet the stipulated requirements to receive final approval from TMAPC he never corrected the Certificate of Dedication. The Certificate of Dedication stated incorrectly that Burning Tree South was a part of PUD 112 and that Burning Tree Area #4 Association would be formed for the purpose of maintaining two lots in Burning Tree South. Yet, those lots were owned by Burning  Tree Master Association, of which Burning Tree South Addition is not a part.

~
SURVEYOR CONFIRMS BURNING TREE SOUTH IS NOT PART OF THE BURNING TREE PLANNED UNIT DEVELOPMENT.
In addition to Tulsa Metropolitan Area Planning Commission finding no records  Burning Tree South subdivision was approved to be part PUD 112 under the Burning Tree Master Association, a surveyor has confirmed that Burning Tree South is not in the Burning Tree  Planned Unit Development (PUD) 112.

~

OKLAHOMA SECRETARY OF STATES OFFICE CONFIRMS BURNING TREE SOUTH IS NOT TIED IN TO BURNING TREE MASTER ASSOCIATION
The office of the Oklahoma Secretary of State has confirmed that Burning Tree South is not tied to the Burning Tree Master Association, based on how the Articles of Incorporation are written and were filed!

~

HOMEOWNERS ARE REQUIRED TO PAY ASSESSMENTS ONLY FOR ACTUAL REPAIR, MAINTENANCE AND UPKEEP OF THE COMMON AREAS --BUT BURNING TREE AREA #4 INC OWNS NOTHING.
The Certificate of Dedication states that by "acceptance of deed" (purchasing your home) in Burning Tree South you agreed to pay assessments for the ACTUAL maintenance, repair and upkeep of the common areas of the Burning Tree Area #4 Association, Inc. (However, there are no common areas owned by Burning Tree Area #4 Association, Inc. or Burning Tree South addition nor have there ever been.)

The Tulsa County Assessor shows that Burning Tree South Addition and/or Burning Tree Area # 4 owns NO land and NO facilities. Thus, it is unlawful to assess Burning Tree South homeowners for actual repairs, upkeep and maintenance when there is nothing owned and thus nothing to be repaired or maintained.

Numerous problems have resulted from the developer failing to correct the Certificate of Dedication, after he deeded away the land, before he ever sold any lots.

~

ASSESSING BURNING TREE SOUTH HOMEOWNERS IS UNLAWFUL!
The Certificate of Dedication clearly states that an attempt by ANYONE, to force homeowners to pay for something other than maintenance, repair and upkeep of the common areas that belong to the Association for Burning Tree South is a violation of the Covenant.

NOTE: All attorneys representing homeowners have advised that because this document is about Burning Tree Area #4 Association, Inc. any mention within it of “the Association” refers to Burning Tree Area #4 Association, Inc.   As previously stated, the land mentioned in the Certificate of dedication, that was to be the basis for forming Burning Tree Area #4 Corporation, was deeded out in February 1977. This was before any homes were built in Burning Tree South and before there was a Burning Tree Area #4 Corporation.

~

WHAT CAN HAPPEN TO ANYONE WHO VIOLATES THE COVENANTS
BY ASSESSING HOMEOWNERS UNLAWFULLY?

#2, paragraph 2 of the Certificate of Dedication states that if anyone attempts to violate any of the covenants, it is lawful for any  person owning property in the subdivision to prosecute the person attempting to violate them and to secure damages.

Thus, board members assessing for anything other than what is stated in H (d) of the Certificate of Dedication would be putting themselves in jeopardy. Based on this fact the current board voted for $0 assessments, to protect current and future board members, from prosecution.

Tulsa, OK

Assessments. Three important things every homeowner in Burning Tree Area needs to know:

ASSESSMENTS

  1. Covenants for all subdivisions state that homeowners can be assessed only for actual repair, upkeep and maintenance for common grounds and facilities within their own subdivision. However, not only do the subdivisions not have common grounds or facilities (according to the Tulsa County assessors office!) but even if they did, then how in the world can one be assessed for the "actual" cost?  Thus, as no subdivision owns any common grounds or facilities  there can be no mandatory assessment.  Not one of the law  firms have been able to find any authority that the BTMA has to to assess homeowners. Attorneys have sent letters to the BTMA President asking for this information but have been ignored. While refusing to provide any documentation to prove that Burning Tree Master Association (BTMA)can assess homeowners certain BTMA directors plan to continuing to assess homeowners without proving they have any authority!
  2. The  Burning Tree Master Association (BTMA) Articles of Incorporation, filed with the State of Oklahoma,  state very simply that the BTMA association was formed for the specific purposes to provide for the development, maintenance, and improvements so as to enhance and protect the value, desirability and attractiveness of certain real property described as follows (and then in the document it shows the legal description of where the BTMA owns land).
  3. Legal counsel has advised that the legal descriptions, in the BTMA Articles of Incorporation, are simply to show the location of the land owned by the BTMA.  No attorney has interpreted it to mean that by showing where the BTMA owns land that it somehow ties the subdivisions in those three areas to BTMA nor that it gives the BTMA authority to assess any homeowner or any subdivision.

  4. (NOTE: Additionally, the Oklahoma Secretary of State's office has advised that no subdivision is--or ever was--tied to Burning Tree Master Association,  based on the way those who formed the corporations for the subdivisions filed the documents). All subdivisions were filed as separate entities, not tied to the BTMA. There has been no merger or consolidation of the BTMA with BTS, as would first be required by the Articles of Incorporation according to Article VIII,  in order to tie the two together together.

Even if BTMA had ever had a legal right to assess homeowners,  homeowners have never were never allowed to vote on assessments. Yet, the BTMA board of directors wily-nily assessed and liened homeowners based on whatever amount the board of directors decided homeowners must pay them.  BTMA by-laws absolutely don't  allow the board of directors to do this. (And GUESS WHAT---the BTMA board is actually  planning to do this all again!)

Doing something that is wrong can make each of the directors financially liable: By-laws: ARTICLE VII 3. Every act or decision done or made by a majority of the directors present at a duly held meeting at which a quorum is present shall be regarded as the act of the board.

Burning Tree East Covenants

My apologies...I have been so busy working lots of OT that our group is just now getting these back to you. We will finish getting the by-laws and anything else to you as quickly as we can. Thanks for posting and all the incredible work everyone is doing in all the neighborhoods.

Burning Tree East Covenants

PLAT 3741

Very important for all in the Burning Tree East Area to note: Burning Tree East has two areas according to these Covenants. Even though they share Covenants the Covenants state they are to each have their own Area Homeowners Association. (That would mean they are not a part of the Area #5 Association, would need to have their  own corporation filed with the Secretary of State and set up their own by-laws. No records have ever been found by any agency, saying any of this was ever done.)

  • Area #5 Lots 5-11, Block 1; Lots 1-18 Block 2; Lots 9-44, Block 3
  • Area #6 1-4 block 1; Lots 1-3 Block 3;& Lots 1-13 Block 4 (If you live in this area you do NOT have a corporation set up as an HOA, according to the Secretary of State. DO NOT BE FOOLED INTO BELIEVING OTHERWISE!!!)

Here is how you check:

  1. Click here:Property Search — Tulsa County Assessor
  2. Accept it and then go in under subdivision Burning Tree East
  3. Look for your name
  4. under legal description get your lot and block
  5. See which Area (Area #5 or Area #6 ) you are in by looking at the top of this page. If you are in Area #6 remember, you do NOT belong to any HOA.
 Here is what the Secretary of State has for Area #5.  But there is nothing found for those living in Area #6. Thus, while some of us own property in what should  have been in Area #6 there is no HOA . This means we NEVER should have been assessed by either Burning Tree East or Burning tree Master Association. Yet, some of our neighbors had liens put on, unlawfully!)

You will note that the By-Laws for Burning Tree East state in ARTICLE III MEMBERSHIP
Every owner of lots described in Paragraph 3 of Article II shall be a member of the corporation since the ones listed above do not have lots there they cannot be  members.

By-Laws, Articles of Incorporaton and Covenants explained

Covenants, conditions and restrictions (Certificate/Deed of Dedication) are  commonly called "CC and Rs". These are written rules, limitations and restrictions on use, mutually agreed to by all owners of homes in a subdivision. CC and Rs are supposed to be enforced by the homeowners association, which is one of the requirements of having a mandatory HOA. Unfortunately in Burning Tree Mr. Henshaw set up the covenants so it is the homeowner who personally bring lawsuits against violators.

Since the Certificate of Dedication did not allow the HOA to enforce anything and because Mr. Henshaw had deeded all the land from the subdivisons to the Master Association the document filed by Mr. Henshaw no longer met the criteria required to form a mandatory HOA in your subdivision!!  It changed anything that he had filed previously. It now required 100% of the homeowner’s signatures in order to have a mandatory HOA. Tulsa County has advised that they do not show that any such document has been filed with homeowner’s signatures showing their agreement to a mandatory HOA.

 State law requires that a copy of the CC and Rs be recorded with the county recorder and must be provided to any prospective buyer. (Were you actually given one? Well, guess what.....Oklahoma statutes (paragraph C) states: No lien may be placed or mortgage foreclosed unless the homeowner was informed in writing upon joining the owners association of the existence and content of the owners association restrictions and rules, and of the potential for financial liability to the individual owner by joining said owners association.

What that means is that even if the Burning Tree Master Association had ever had any authority to assess homeowners they would have still had to make sure you were given information no later than at closing. If you didn't get anything the burden of proof would be upon the  Burning Tree Master Association to prove that you did. Do they have your signature anywhere?
By-laws are the written rules for conduct of any organization. They should not be confused with the Articles of Corporation which only state the basic outline of the company. Bylaws generally provide for meetings, elections of a board of directors and officers, filling vacancies, notices, types and duties of officers, committees, assessments and other routine conduct. Bylaws are, in effect a contract among members, and must be formally adopted by the directors and/or amended.

Articles of incorporation are the basic charter of a corporation which spells out the name, basic purpose, incorporators, amount and any special characteristics such as being non-profit. Each state has its own system of approval of articles and sets specific requirements for non-profits. Articles must be signed by the incorporating person or persons or by the first board of directors. The starting point for filing and approval of Articles of Incorporation is usually the state's Secretary of State. There will be a fee and, often, a deposit of an estimated first year's taxes.

Burning Tree East Deed of Dedication/Covenants

The subdivisions are not tied to the Burning Tree Master Association (BTMA) in any way, according to the office of the Oklahoma Secretary of State. However,  the BTMA board continues to assess homeowners for what they do NOT owe. At the same time the  BTMA refuses to assess apartment and duplex owners within the subdivisions.

This is the way to keep apartment and duplex dwellers from enjoying the recreational facilities.   The BTMA states, in their demand for money, that assessments will be used for upkeep, repairs and maintenance of their common area and their facilities. However, receipts show that funds from the assessments are being used instead for such things as social events, church donations, swimsuits, tee shirts, shorts, etc.

_______________________________________________________________

Confirmed by Tulsa County Land Records: Duplexes and apartments are a part of Burning Tree as the Certificate/Deeds of Dedication have never been amended. (Be sure to scroll to the bottom of this page for much more interesting information about our subdivision.)

Permission for Outbuildings cannot be given by anyone!

Can a board member give permission for an outbuilding?

The answer is NO! Burning Tree Master Association Board members do not have any authority, nor have ever had to violate Covenants by granting permission for an outbuilding, nor would they want to as the Covenants state:
2. If the parties hereto or any of them or their heirs or assigns shall violate or attempt to violate any of the covenants herein, it shall be lawful for any other person or persons owning any real property situated in said development or subdivision, to prosecute any proceedings at law or in equity against the person or persons violating or attempting to violate any such covenants and either prevent him from so doing to secure damages or other dues for such violations.

Thus, giving permission to violate the covenants by putting up an outbuilding, may cause the person (or board member) legal trouble.

Yes, everyone is aware that a certain past career board President has several tacky outbuildings in her backyard....all put up when she got herself in as President.

Further, the Burning Tree Master Association board of directors has no authority whatsoever, over anything but the common areas (pool, tennis courts, mowing, etc.)
